WHO THIS IS FOR

For owners of established SMEs preparing a sale or succession, and buyers who want to assess price, financing and the handover together.

Your outcomeA sale strategy, a transparent valuation and a clear negotiating position.
WHAT WE WORK ON TOGETHER

A sale strategy, a transparent valuation and a clear negotiating position.

01

Sale readiness & value

Assess earnings quality, owner dependence and unresolved issues. Together we develop a valuation range with explicit assumptions and prioritise preparation before approaching buyers.

02

Sale process & negotiation

Agree the buyer profile, approach and next steps. Compare offers, prepare the commercial case and negotiate price, payment, handover and remaining obligations together.

03

Proceeds & the next use of capital

Bridge business value to available capital. Separate cash at completion, earn-outs and vendor loans, and account for your liquidity needs after the sale.

Business sale & succession

The questions behind your decision.

These documents help with a detailed assessment. For an initial conversation, a short description of your plans is enough.

I am considering a sale. Where should I start?

Start with your objective: a full exit, a partial sale or a gradual handover. Then assess how much customers, employees and operations depend on you. High earnings alone do not make a business readily transferable.

I have an offer. Is the price attractive?

Compare like with like. Operating enterprise value is adjusted for contractually defined debt, cash and working capital. Timing, conditions, security and your role after completion also matter.

I want to buy a business.

Assess which earnings can be sustained after an ownership change. Price, equity, debt service and investment needs must fit together. Due diligence covers contracts, people, customers and legal and tax risks as well as the accounts.

How we start working together.

  1. 01

    Clarify the objective and mandate

Discuss your starting point and agree scope, responsibilities and fees.

  2. 02

    Prepare and assess the options

Organise the information, assess the commercial drivers and identify the next useful step.

  3. 03

    Negotiate and support the handover

Within the agreed mandate, I support commercial negotiations. Legal, tax and contract reviews are coordinated with the relevant professionals.

Scope, responsibilities and fees are agreed before the mandate begins. Legal, tax and other specialist reviews are included as appropriate to the project.

YOUR FIGURES. A FIRST PERSPECTIVE.

What could you retain after the sale?

Adjust EBITDA, valuation and payment terms. See how available capital and reinvestment change. A purchase and financing view is also included.

What to know before we begin.

What do I receive beyond a valuation?

A commercial assessment: what supports value, what complicates the handover and which terms matter to you. The documents, conversations and negotiation tasks I take on are specified in the mandate.

Can I get in touch before a buyer is identified?

Yes. An early discussion can reveal dependencies and gaps before deadlines create pressure. If you already have an offer, we start with its terms and your decision timeline.

Is the calculator a binding valuation?

No. It shows the effect of your assumptions. Buyer interest, earnings quality, contracts and risks require an individual review. A calculated value is neither an offer nor a guaranteed sale price.

THE NEXT STEP

Let’s discuss what you have in mind.

Tell me about your situation. We clarify which questions to address first and whether working together makes sense.
